Governance at Invesis is active, not passive. It operates at every level - from Management Board accountability for sustainability strategy, through to Delivery team members who sit on the board of every portfolio company. Our framework gives our clients, communities and shareholder the confidence to rely on us across concession periods of 25, 30 and even 40 years.

Good governance is not a constraint on investment performance - it is what makes sustained, long-term investment performance possible.

Our approach to governance operates at two levels - corporate and investment. At the corporate level, our Management Board holds direct accountability for sustainability and risk. At the investment level, our Delivery teams maintain active oversight at every asset throughout the concession.

Accountability at the top

Our Management Board holds ultimate accountability for sustainability, with the COO as dedicated lead. Sustainability is a standing agenda item at every monthly Management Board meeting. Quarterly shareholder meetings with PGGM - one of Europe’s most respected responsible investors - include sustainability performance reviews, ensuring our approach remains aligned with the values of long-term, responsible infrastructure investment.

Active management at every investment

At investment level, at least one Invesis Delivery team member sits on the board of every portfolio company, keeping sustainability on the agenda at the asset level. Our Delivery teams carry out regular site inspections across all investments, covering health and safety, fire safety, maintenance and client engagement. In 2024 we developed our own incident and inspections application, rolled out across the full portfolio to strengthen oversight of performance.

A rigorous risk framework

In 2024 we implemented a new Risks and Opportunities management framework across our origination process, integrating sustainability considerations at every decision-making gate. We apply exclusion lists, screen potential partners using World-Check and Orbis, and develop detailed sustainability requirements as investments approach financial close. In 2025 we are extending this framework to our Delivery activities, ensuring a consistent approach to sustainability risk management across the full investment life.

A clear policy framework

Our Policy Framework - covering everything from our Code of Conduct and Anti-Bribery Policy to our Sustainability and Responsible Investment Policy - is reviewed annually and signed off by the Management Board. In 2024 there were no instances of bribery, corruption, fraud or regulatory breaches anywhere across the business. All employees are required to understand and uphold the practices our policies set out.

Long-term infrastructure partnerships only work when governance is built to last. The accountability structures and standards Invesis maintains give clients, communities and shareholders the confidence to rely on us across concession periods that can span 25, 30 or even 40 years.

From strengthening the Netherlands' iconic flood defences against the forces of climate change, to completing the full 20-year lifecycle of a Dutch motorway PPP and handing it back in better shape than we found it, each reflects the discipline and continuity that responsible long-term partnership demands.
